Granite steps of a state government building

A "foreign" LLC is just one formed in another state. If yours is transacting business somewhere new, with an office, staff or ongoing operations there, that state generally requires you to register before you start.

Registration costs $50 in Michigan up to $750 in Texas, with a median of $150. You'll also need a registered agent in that state and, usually, a certificate of good standing from home.

Questions people ask

What is a foreign LLC?

An LLC registered to do business in a state other than the one where it was formed. It is the same company, just registered in a second state.

Do I need to register as a foreign LLC?

Generally yes, if you're transacting business in the state: an office, employees, or ongoing operations there. Occasional sales or a bank account often don't count. Each state defines it in statute.

Should I form in Delaware or Wyoming instead of my home state?

Usually not for a small business. You'd still register as a foreign LLC at home, so you pay two sets of fees and keep two registered agents.

Which state charges the most for foreign registration?

Texas, at $750, based on our latest check.
